If there is no such Company, You warrant that You are legally permitted to enter into this T&C and accept the T&C on behalf of Yourself as an individual and acknowledge that You are legally bound by these T&C. This T&C includes, and incorporates by this reference, the policies and guidelines referred below. This T&C does not alter in any way the terms or conditions of any other written agreement You may have with IACC for other products or services. If You do not agree to this T&C (including any referenced policies or guidelines), please immediately cease Your use of the Website.

I.  Services :

This Website is a membership-based organisation that caters and services and advises its members, majorly upon the subject of the promotion of Indo-Australian business, trade, and economic trade relations (hereinafter referred as to as our ‘Service’ or ‘Services’). By becoming a member you can use our Services through this Website or at any time by using this Website, You agree to the terms set forth in this T&C.

II.  Proprietary Rights :

IACC has proprietary rights and trade secrets in the Services and Website. IACC also has rights to all trademarks and trade dress and specific layouts of this Website, including calls to action, text placement, images and other information. All content on the Website, including but not limited to text, graphics, logos, images, audio clips, digital downloads, data compilations, and software, is the property of IACC or its content suppliers and is protected by international copyright laws.

XI.  Governing Law & Dispute Resolution :

These T&C shall be governed by and construed in accordance with the laws of Republic of India, without regard to its conflict of laws principles. Any dispute/differences arising out of or touching this T&C, shall be referred to arbitration as per the Arbitration & Conciliation Act, 1996 by a sole arbitrator appointed as per the Act thereof. The seat/venue of arbitration shall be Chennai, Tamil Nadu. The award passed by the arbitrator shall be final and binding. The courts at Chennai, Tamil Nadu shall have exclusive jurisdiction over this T&C.

XIII.  Investigation :

You acknowledge that IACC has no obligation to monitor Your access to or use of the Services, but has the right to do so for the purpose of providing the Services, to ensure Your compliance with these T&C, or to comply with applicable law or the order or requirement of a court, administrative agency, or other governmental body.

XIV.  Miscellaneous :

  • Force Majeure : IACC will not be deemed in default hereunder or held responsible for any cessation, interruption or delay in the performance of its obligations hereunder due to any act of god including but not limited to earthquake, flood, fire, storm, natural disaster, war, terrorism, armed conflict, labour strike, lockout, or boycott.

  • Cessation of Operation : IACC may at any time, in its sole discretion and without advance notice to You, cease operation of the Website and its Services.

  • Entire Agreement : This Agreement comprises the entire agreement between You and IACC and supersedes any prior agreements pertaining to the subject matter contained herein.

  • Effect of Waiver : The failure of IACC to exercise or enforce any right or provision of this T&C will not constitute a waiver of such right or provision. If any provision of this T&C is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties' intentions as reflected in the provision, and the other provisions of this T&C remain in full force and effect.

  • Termination : IACC reserves the right to terminate Your access to the Website if it reasonably believes, in its sole discretion, that You have breached any of the T&C. Following termination, you will not be permitted to use the Website and IACC may, in its sole discretion and without advance notice to You, cancel any outstanding orders for Services and existing Services. If Your access to the Website is terminated, IACC reserves the right to exercise whatever means it deems necessary to prevent unauthorized access of the Website. This T&C will survive indefinitely unless and until IACC chooses, in its sole discretion and without advance to You, to terminate it.
